Board Duties

  • Determine policies and programs of the Corporation in accordance with the provisions of these Bylaws.
  • Elect Directors and officers, and appoint the members of committees.
  • Adopt an annual budget and approve the Corporation’s annual audit.
  • Receive or approve all reports of the committees of the Board of Directors and officers of the Corporation.
  • Designate individual(s) authorized to sign and countersign checks, drafts, and other legal documents.
  • Secure fidelity bonds covering individual(s) charged with the custody of funds or negotiable securities.
  • Create such committees and subcommittees as it may deem advisable to promote the programs and activities of the Corporation.
  • Set the time and place for the annual meeting of the Corporation and for its own sessions.
  • Require production and audit of financial reports presented in an appropriate manner.
  • Perform such other duties as are appropriate or prescribed in these Bylaws and as may be required by law.

Our Committees and Their Charges

The work that our committees pursue means that their members are truly A.N.C.H.O.R.S. of our institution. These individuals: Advocate, Network, Contribute, Help, Organize, Recruit, and Serve. The Executive Committee shall report any action taken by it to the Board of Directors at its next meeting. The Executive Committee shall provide an annual performance review of the Executive Director to the Board of Directors. The designation of the Executive Committee and the delegation thereto of authority shall not operate to relieve any Director of any responsibility imposed by law.

The Committee shall focus on matters related to the organization’s financial operations, including reviewing, approving, monitoring or reporting upon the annual operating budget of the organization and ensuring that the organization is utilizing best practices in development of the same.

The Committee shall meet at least annually to appoint the Corporation’s independent auditors and meet with the Treasurer of the Corporation to establish the scope of the audit to be conducted. The Committee shall receive and review the audit of the Corporation and report thereon at the annual meeting of the Board of Directors.

The Committee shall review and act upon recommendations of the professional staff and of any outside investment advisors employed by the Corporation in reference to the investment of Corporation funds. The Chair or a designated committee member shall report to the next succeeding meeting of the Board of Directors on any and all actions taken.

The Committee shall nominate persons to serve as Directors and officers of the Corporation. Such nominations shall be submitted at the annual meetings of the Corporation for approval by the Board of Directors. The Nominating Committee shall be responsible for providing orientation and training to new Board members and officers, as well as filling vacancies in the Board of Directors and officers.

The Committee shall provide strategic direction for volunteer initiatives, career engagement and events. The Engagement Committee will recruit and manage volunteers to assist the College with events, career networking, mentoring, and other volunteer opportunities that improve the alumni or collegiate experience for the College community. Board members are encouraged to volunteer.

The Committee shall focus on matters related to the identification, cultivation, solicitation and stewardship of the Corporation’s philanthropic contributions.This committee may also assist with planning the Corporation’s fundraising and donor recognition events and activities.
